Terms and Conditions
Welcome to GravityGames Limited. These Terms and Conditions (“Terms”) explain how we run our Platform and your rights and responsibilities when using it. They work together with our Privacy Policy, Refund Policy, and any other Platform rules we publish from time to time.
When you visit or use our Platform, you agree to follow these Terms. If you disagree with any part, you must not use our services.
GravityGames Limited (Company No.16556090) is registered at 85 Great Portland Street, First Floor, London, England W1W 7LT.
All Digital Products offered on our Platform are sold directly by GravityGames Limited as the contracting party for each order.
We reserve the right to update these Terms or modify any part of the Platform at our sole discretion. Where required by law, we will notify you in advance; otherwise, changes will take effect 10 days after posting.
Here’s what we mean when we use these terms:
Account — Your personal or business profile you create to access Platform features.
Digital Product — Any digital key, gift card, or similar item sold on the Platform.
Digital Redemption Credential (“Key/Code”) — a unique alphanumeric string enabling activation of software/content or redemption of stored value (including activation keys and voucher/gift-card PINs).
Force Majeure — Circumstances beyond our reasonable control that prevent or delay performance under these Terms (see Section 10).
Platform — The GravityGames website up-gift.com and any related apps or online services.
Privacy Policy — How we collect, store, use, and protect your personal data (see separate policy).
Refund Policy — Our separate policy on when and how you may get a refund (see separate policy).
Restricted Jurisdictions — Countries or territories where Platform access is prohibited due to legal, sanctions, or regulatory constraints (see Section 7).
Service — Any features or tools we make available through the Platform.
User — Anyone who browses or buys Digital Products on our Platform.
To use our Platform, you must have the legal capacity to enter binding contracts under your local laws (typically age 18+). You agree to provide true and up-to-date information during registration and to keep your Account details accurate.
We may ask you to verify your identity (KYC).
The use of VPNs, proxies, or other obfuscation tools to bypass geographic restrictions is strictly prohibited, unless expressly authorised in writing.
We reserve the right to suspend or close your Account immediately and without notice where permitted by law if required for security, to comply with sanctions or regulatory requirements, or to prevent fraud/abuse.
GravityGames Limited does not charge any platform fees for standard purchases.
Your bank or payment provider may apply their own charges (e.g., currency conversion or processing fees), which are beyond our control.
Payments are processed by independent payment processors, and their own terms and procedures (including any KYC/AML checks) may apply.
Points system. All purchases on the Platform are made using virtual “Points.” Customers first top up their account balance using euros (€) or another supported currency. The amount paid is converted into Points according to the exchange rate displayed during the top-up process.
All prices for Digital Products on the Platform are displayed in Points — the internal virtual balance unit used for purchases.
After each top-up, the corresponding payment receipt will show the amount paid in euros (€) and the number of Points credited to the user’s Account.
Points have no standalone monetary value outside the Platform and cannot be exchanged back for cash, except as explicitly provided in the Refund Policy.
After a successful top-up or a purchase made using Points, a payment confirmation and invoice are sent to your registered email address.
Currency & display.
All Digital Products on the Platform are priced and displayed in Points. Users purchase Points with euros (€), which can then be exchanged for Digital Products offered by GravityGames Limited.
Top-up and refunds.
Points are credited to your Account immediately after a successful payment. Points are non-refundable once purchased, except in cases explicitly covered under Section 10 (“Refunds”).
Refunds may only be issued if the payment for Points was affected by a verified technical error, an unauthorised transaction, or if the order was cancelled by us due to a manifest pricing error or suspected fraud.
Points that have been used to purchase Digital Products are strictly non-refundable.
Cancellation policy.
There is no cancellation once Points have been used to redeem a Digital Product, as digital delivery occurs instantly. You may, however, cancel a pending top-up transaction before payment confirmation.
Price commitment.
The number of Points shown for each Digital Product is fixed at the time of the order. We may adjust exchange rates or product prices at any time for future transactions.
Delivery and finality of sale.
Digital Products are delivered electronically to your Account immediately upon redemption using Points. Once a key/code is displayed, the transaction is considered completed and non-refundable under our Refund Policy.
When you buy or use the Platform, you agree that you will:
- Provide truthful details when creating your Account.
- Use the Platform only for lawful purposes.
- Not upload or share harmful, offensive, or illegal content.
- Not engage in fraud, money laundering, or other prohibited activity.
- Maintain the confidentiality of your Account credentials. You are responsible for anything done through your Account.
- Not use bots, scrapers, or automated tools to purchase, redeem, or extract content.
- Not resell, redistribute, or commercialise Digital Products obtained through the Platform without our prior written consent.
- Comply with export control, re-export, and sanctions laws (UK/EU/US) and not cause us to breach such laws.
We do not provide services to or permit access from certain countries and territories due to international sanctions, compliance obligations, or other legal restrictions.
The following are expressly forbidden:
Afghanistan, American Samoa, Belarus, Bosnia and Herzegovina, Central African Republic, China, Congo, Guatemala, Guinea, Guinea Bissau, Haiti, Iran, Iraq, Lebanon, Libya, Mali, Myanmar (Burma), Nicaragua, Niger, North Korea, Russia, Somalia, South Sudan, Sudan, Syria, Tunisia, Turkey, USA, Venezuela, Yemen, Zimbabwe, Cuba.
This list may be updated at any time.
GravityGames Limited shall not be held liable if any User breaches applicable sanctions, export controls, or other restrictions.
We grant you a limited, non-exclusive, non-transferable licence to use the Platform as intended. Ownership of Digital Products stays with the relevant rights holders.
You must not reproduce, modify, or distribute any Platform content without our prior written consent, except as permitted under applicable law.
Redemption and use of Digital Products may require acceptance of third-party platform/publisher terms (e.g., Steam, PlayStation, Xbox, Nintendo) and compliance with technical and territorial requirements.
The Platform provides filters (e.g., by device such as Nintendo, PC, PlayStation, Xbox, or by category such as Action, Adventure, RPG, etc.) to help Users find Digital Products. These filters are provided for convenience only and do not guarantee that the selected Digital Product will be compatible with your specific hardware, software, or regional restrictions. It is your responsibility to verify compatibility before making a purchase.
We want you to enjoy what you buy, but you are solely responsible for ensuring that any Digital Product is compatible with your hardware, software, and region.
GravityGames Limited does not guarantee that every key or card will work on all devices, operating systems, or in every country.
We do our best to keep the Platform available at all times but cannot guarantee it will be error-free or uninterrupted.
We do not guarantee uninterrupted access to the Platform and disclaim all warranties to the fullest extent permitted by law.
We are not liable for:
- The accuracy, quality, or legality of Digital Products.
- Technical problems beyond our reasonable control.
- Any indirect, incidental, or consequential losses.
Where legally allowed, our total liability to you will not exceed what you paid for the disputed transaction. Any claim must be notified within 20 days of the relevant purchase to the extent permitted by applicable law.
Refunds may be issued if:
- Defective / unusable product (faulty, invalid, already redeemed, or not as described).
- Material misdescription (e.g., region/platform differs from the product page).
- Non-delivery (you paid but did not receive; first check email—including spam—and your Account).
- Unauthorised transaction (confirmed after investigation).
- Order cancelled by us (manifest pricing error or suspected abuse/fraud; full refund).
Refunds are not available where:
- You changed your mind.
- You chose the wrong region/platform or did not verify compatibility.
- The product was activated/used/revealed/shared (including when a key/code is displayed).
- The request is outside the deadlines below.
- Your Account is restricted for breach of the Terms or anti-fraud rules.
EU/UK digital content note: by choosing immediate electronic delivery, you lose the 14-day withdrawal right once delivery starts (e.g., when a key/code is revealed).
How to request a refund:
- Deadlines: within 20 calendar days of purchase; for non-delivery, if still not received after 7 calendar days.
- Submit to: assist@up-gift.com.
- Include: Order ID/transaction details; clear explanation and evidence (screenshots/error logs/platform logs); confirmation the key/code was not used or shared (if relevant).
- Timelines: acknowledgement within 5 business days; resolution within 14 business days where possible (may be longer due to payment-provider checks or fraud investigations). If denied, you may appeal with additional information.
Special situations:
- Chargebacks: your Account may be temporarily restricted during investigation.
- Fraudulent claims: refund refused; Account may be suspended/terminated.
- Bundles/promotions: assessed per item; partial refunds may apply.
- Technical errors: report suspected erroneous charges within 48 hours.
How we process refunds:
- To the original payment method where possible; otherwise, a lawful alternative (e.g., store credit) may be offered.
- In the same currency as the original transaction.
- Bank/payment-provider fees and their processing times may apply.
Consumer protection:
We comply with applicable consumer-protection laws; where mandatory local rights provide greater protection (including EEA/UK remedies for defective digital goods such as repair, replacement, or refund), those rights prevail.
We will not be responsible for any delay or failure to fulfil our obligations under these Terms if caused by events outside our reasonable control, such as natural disasters, war, pandemics, acts of government, or failures of internet services.
If you have a complaint about our Platform, please contact us through our help channels. We will aim to respond within 14 days.
We expect Users to resolve disputes directly wherever possible. We may help by passing messages but do not act as an official mediator or arbitrator.
If you are an EU resident, you may also submit disputes through the European Online Dispute Resolution (ODR) platform.
You can close your Account anytime by contacting us. We’ll handle your request within seven days unless you change your mind.
Some information may be retained if required by law, for example for fraud prevention or tax compliance.
We may suspend or terminate any Account that breaches laws, these Terms, or our policies.
- You cannot transfer your rights or obligations under these Terms to anyone else without our written permission.
- If any part of these Terms is held invalid, the remaining parts will stay in force.
- These Terms are governed by the laws of England and Wales unless mandatory local consumer protection laws say otherwise.
